10. Indemnity
If you use the Service for a business, or post content you don't have the rights to, you agree to defend and compensate Third Eye Cyborg, LLC and its member and agents against third-party claims, and the resulting reasonable losses and legal fees, to the extent they arise from (i) your content, (ii) your breach of this Agreement or of the law, or (iii) your violation of someone else's rights. We'll tell you promptly about any such claim and you may take part in the defence. You may not settle a claim in a way that admits fault for us or binds us without our written consent. If you are using the Service as a consumer, this section applies only where your own wrongful conduct caused the claim, and only to the extent the law where you live allows. This section survives the end of this Agreement.
11. Data Transfer
If you are visiting this Site from a country other than the country in which our servers are located, your communications with us may result in the transfer of information across international boundaries. By visiting this Site and communicating electronically with us, you consent to such transfers.
12. Availability Of Website
Subject to the terms and conditions of this Agreement and our policies, we shall use commercially reasonable efforts to attempt to provide this Site on 24/7 basis. You acknowledge and agree that from time to time this Site may be inaccessible for any reason including, but not limited to, periodic maintenance, repairs or replacements that we undertake from time to time, or other causes beyond our control including, but not limited to, interruption or failure of telecommunication or digital transmission links or other failures. You acknowledge and agree that we have no control over the availability of this Site on a continuous or uninterrupted basis, and that we assume no liability to you or any other party with regard thereto.
12A. Events Beyond Our Control
We're not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, fire, flood, war, terrorism, civil unrest, pandemics, government action, power or internet outages, outages at our hosting, payment or AI providers, or cyberattacks we couldn't reasonably have prevented. We'll try to restore the Service as soon as practicable. This doesn't take away any refund you're owed under Section 26, including for a prolonged outage of a paid feature or if we shut down.
12B. Beta and Preview Features
Some features may be labelled "beta", "preview", "early access" or "experimental". Ascended Social and some of its features are offered as beta. Beta features are still in development. They may change, be paused, work imperfectly, or be removed, sometimes without advance notice. Beta status does not change our privacy commitments, our security obligations, or how we handle your data, which remain as described in our Privacy Policy. It also does not limit any rights you have under applicable law. If you have a paid plan and we remove or materially reduce a feature included in it, we'll tell you, and you can cancel. Any remedy you're entitled to under our refund policy (Section 26) or applicable law still applies. Please don't rely on beta features as your only copy of important content.
13. Discontinued Services
Company reserves the right to cease offering or providing any of the Services at any time, for any or no reason, and without prior notice. Although Company makes great effort to maximize the lifespan of all its Services, there are times when a Service we offer will be discontinued. If that is the case, that product or service will no longer be supported by Company. In such case, Company will either offer a comparable Service for you to migrate to or a refund. Company will not be liable to you or any third party for any modification, suspension, or discontinuance of any of the Services we may offer or facilitate access to.
14. Fees And Payments
You acknowledge and agree that your payment will be charged and processed by Third Eye Cyborg, LLC. You agree to pay any and all prices and fees due for Services purchased or obtained at this Site at the time you order the Services. Company expressly reserves the right to change or modify its prices and fees at any time, and such changes or modifications shall be posted online at this Site and effective immediately without need for further notice to you. Refund Policy: for products and services eligible for a refund, you may request a refund under the terms and conditions of our Refund Policy which can be accessed here.
15. No Third-Party Beneficiaries
Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
16. Compliance With Local Laws
Company makes no representation or warranty that the content available on this Site are appropriate in every country or jurisdiction, and access to this Site from countries or jurisdictions where its content is illegal is prohibited. Users who choose to access this Site are responsible for compliance with all local laws, rules and regulations.
17. Governing Law
This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the laws of the State of Arizona, USA, to the exclusion of conflict of law rules.
18. Dispute Resolution
18.1 Talk to us first. Before either of us starts arbitration or a court case, the side with the dispute must email the other a short description of it, with your name, the email on your account and what you're asking for. You send yours to trust@thirdeyecyborg.com, and we send ours to the email on your account. We aim to reply within 3 business days. Both of us will try in good faith to resolve it for 30 days from that email. During those 30 days, any deadline for bringing the claim is paused.
18.2 Binding individual arbitration. If the dispute isn't resolved within those 30 days, it will be settled by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect when the claim is filed (or its Commercial Rules if you are not a consumer). Fees are paid as those rules provide. The arbitrator may award the same individual relief a court could. Hearings take place in Gila County, Arizona. If you prefer, and the rules allow, they can instead be held by video or phone or decided on documents. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court with jurisdiction.
18.3 Individual claims only. To the extent the law allows, you and we each bring claims only individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding.
18.4 Exceptions. (a) Either of us may bring an individual claim in small claims court instead, if it qualifies. (b) Either of us may ask a court for urgent relief to stop infringement or misuse of intellectual property. (c) Section 28 explains when this section doesn't apply to consumers in the EU, EEA, UK, Switzerland, Quebec and other places that don't allow pre-dispute consumer arbitration.
18.5 Opting out. You can opt out of this section 18 (arbitration and the individual-claims-only rule) by emailing trust@thirdeyecyborg.com within 30 days after you first accept these Terms. Write "arbitration opt-out" and include the email on your account. If you had an account before this section first applied to you, you have 30 days from the date you were notified of it. No form, mail or reason is needed. Opting out doesn't affect anything else in these Terms or your use of the Service.
18.6 If part of this section fails. If the individual-claims-only rule in 18.3 can't be enforced for a particular claim or remedy, that claim or remedy goes to court and is not arbitrated. The rest of this section still applies to everything else.
18.7 Courts. Disputes that aren't arbitrated (including after an opt-out) go to the state or federal courts in Gila County, Arizona. Section 28 explains where a consumer may sue at home.
18.8 Changes. If we change this section, the change won't apply to a dispute we already knew about. You can reject a material change to this section by email to trust@thirdeyecyborg.com within 30 days after it takes effect.
19. Titles And Headings
The titles and headings of this Agreement are for convenience and ease of reference only and shall not be utilized in any way to construe or interpret the agreement of the parties as otherwise set forth herein.
20. Severability
Each covenant and agreement in this Agreement shall be construed for all purposes to be a separate and independent covenant or agreement. If a court of competent jurisdiction holds any provision (or portion of a provision) of this Agreement to be illegal, invalid, or otherwise unenforceable, the remaining provisions (or portions of provisions) of this Agreement shall not be affected thereby and shall be found to be valid and enforceable to the fullest extent permitted by law.
21. How These Additional Terms Apply
The sections from "How These Additional Terms Apply" to "Consumer Rights, Liability and Disputes" are additional terms that form part of this Agreement. If anything in the earlier sections of this Agreement conflicts with them, these additional terms control. This Agreement covers Ascended Social, including the website https://ascended.social, the Ascended web app and our mobile and desktop apps (the "Services"). Our Privacy Policy, Refund & Cancellation Policy (https://legal.ascended.social/refund), Subscription & Auto-Renewal Terms (https://ascended.social/legal/subscription-terms), Acceptable Use Policy (https://ascended.social/legal/aup), Child Safety Standards (https://ascended.social/legal/child-safety) and, if you use our API or MCP server, our API Terms of Use (https://ascended.social/legal/api-terms) also apply; the Refund & Cancellation Policy controls on refunds and cancellations, and an app's licence agreement controls on the licence to use that app's software. Despite the Overview section, we will give you reasonable advance notice, for example by email or in the app, before a material change to this Agreement takes effect, and changes do not apply retroactively; changes needed for legal, safety or security reasons may take effect sooner. Legal notices: trust@thirdeyecyborg.com. We aim to reply within 3 business days.
22. Your Content, Our Content And Open Source
You keep ownership of your User Content and User Submissions. In the "Companies Use of User Content" section, the sentence giving Company exclusive rights to User Submissions does not apply, and the licences you grant in your User Content are non-exclusive and limited to hosting, storing, copying, adapting (for example, formatting or resizing), displaying, performing and distributing it to operate, display, secure and maintain the Services and to meet our legal obligations, including letting other users view and interact with it as the Services' features and your settings allow. We won't use your User Content, name, likeness or words to advertise or promote Ascended outside the Services without your separate permission. These licences end when you delete the content or your account, except for limited-time backup copies, copies we must keep for legal, safety or security reasons, and content other users have already shared through features that work that way, until they delete it; they are not perpetual or irrevocable. If you send us ideas, suggestions or feedback about the Services, we may use them freely without obligation to you. Despite the "Intellectual Property" section, you may use the Services and Company Content for your own personal, non-commercial use. Some of our software, including Ascended Core, our open-source building blocks (https://ascended.social/legal/ascended-core), is released under open- source licences, and your use of that code is governed by its licence.
23. Community Rules, Copyright And Account Actions
You must follow our Acceptable Use Policy (https://ascended.social/legal/aup) and Community Guidelines. You can report any post, comment, message or profile, and block any user, from within the Services. To report copyright infringement, follow our DMCA and Copyright Policy (https://ascended.social/legal/dmca). We may remove or restrict content, and suspend or close accounts, that seriously or repeatedly break this Agreement, where the law requires it, or to protect users, the public or the Services; where appropriate and lawful, we will tell you why and how to appeal. You can delete your account at any time. Deleting your account cancels any web subscription you bought through Stripe (Link), but it does not cancel an Apple or Google subscription. Cancel those in the App Store or Google Play. Scheduled posts. When you schedule a post, you authorize us to publish it on your behalf, as you, at or around the time you choose. You remain its author and are responsible for it as of the time it publishes, under this Agreement, our Acceptable Use Policy and our Community Guidelines. Scheduled posts go through the same review as any post when they publish, using your settings at that time. They may be delayed, held for review, removed or not published, including if your plan's limits have changed, your account is restricted, or the post isn't allowed in the place you scheduled it from. We don't guarantee that a scheduled post will publish at an exact time, or at all. You can edit, cancel or delete a scheduled post until it starts publishing. Delete removes a scheduled post and its media right away; cancelled or failed scheduled posts are deleted after 7 days. Apps that post for you. If you let an app, script or AI assistant use your account through an API key (including through our MCP server), it acts for you within that key's permissions, and what it posts is your content. Our API Terms of Use apply. Keep your keys secret, and revoke any key you no longer trust.
24. Child Safety & Csae
Third Eye Cyborg, LLC maintains a zero-tolerance policy regarding child sexual abuse material (CSAM), child sexual exploitation and abuse (CSAE), grooming, solicitation of minors, sextortion, and trafficking. Violations result in immediate permanent account termination, evidence preservation, and mandatory escalation to law enforcement or NCMEC. In-app reporting is available across all feeds and profiles, or directly via trust@thirdeyecyborg.com. Full standards are published at https://ascended.social/legal/child-safety.
25. Roxy Ai Services
Ascended Social includes "Roxy", an AI-assisted service offering personalized readings, conversations, saved history, sharing, exports and synthesized voice features on spiritual and reflective topics such as astrology, tarot, numerology, Human Design and dreams. Roxy's outputs are generated automatically by artificial intelligence and may be incomplete, inaccurate or delayed. Roxy is for self-reflection, spiritual exploration, entertainment and general information. Ascended is not clinical mental health care and is not a substitute for licensed care. Roxy's outputs are not medical, legal, financial or emergency advice. Access to Roxy is subject to request limits, daily quotas and your plan or energy; retries, partial outputs and provider timeouts count toward your quota unless we identify a system error, in which case we restore the affected quota or energy.
26. Billing, Cancellation & Refunds
26.1 Who sells to you. Seeker is free. Mystic and Ascended are paid subscriptions, billed monthly or yearly. Annual plans and free trials are described in our Subscription & Auto-Renewal Terms. Energy packs are one-time purchases. Purchases in our iOS and Android apps, both subscriptions and energy packs, are sold by Apple (App Store) or Google (Google Play) under their terms. On the web and desktop, each purchase is sold by a merchant of record. Subscriptions are sold by Stripe, through its affiliate Sold Through Link, LLC (Stripe Managed Payments, shown at checkout as "Sold through Link"). Energy packs are sold by Polar Software, Inc. Your checkout page and receipt show which company sold you each purchase, and that company's own terms also apply to your payment. 26.2 Payments and taxes. This section controls over any other statement in these Terms about who charges or processes your payment, including the Fees and Payments section: Third Eye Cyborg, LLC does not charge or process your payment. The merchant of record, or Apple or Google, charges your payment method, calculates and collects any sales tax, VAT or GST, sends your receipt, and handles payment disputes. We don't charge or process payments ourselves, and we never receive or store your full card number. To manage a subscription bought through Stripe, you need a free Link account. 26.3 Automatic renewal, trials and price changes. Subscriptions renew automatically at the end of each monthly or yearly billing period, and you're charged the then-current price for that plan until you cancel. If a plan offers a free trial, you'll see the trial length and the price that starts afterwards before you sign up, and you'll be charged that price when the trial ends unless you cancel before then. If we raise the price of an existing subscription, the new price applies only from a renewal date. You'll be told the new price and how to cancel at least 30 days before that renewal, and we'll ask for any consent the law or the app store requires. Our Subscription & Auto-Renewal Terms (https://ascended.social/legal/subscription- terms) give more detail, including reminder emails. 26.4 Cancelling. You can cancel at any time. For web and desktop subscriptions, use Settings → Subscription, or your Link account at link.com. For Apple or Google purchases, cancel in the App Store or Google Play subscription settings. Energy packs are one-time purchases, so there's nothing to cancel. When you cancel, your subscription won't renew and you won't be charged again, and you keep access until the end of the period you've already paid for. If you cancel during a free trial, you won't be charged. 26.5 Refunds. We don't refund or credit the unused part of a billing period, except where your legal rights require it, where a purchase wasn't delivered or didn't work because of a problem on our side, or where we discontinue the Services. Our Refund & Cancellation Policy (https://legal.ascended.social/refund) explains how to ask. The company that sold you the purchase may also give you a refund under its own terms or the law, and if it does, we honour it. Energy pack refunds are handled by the seller of record for that purchase (Polar, Apple or Google), under its terms and our Refund & Cancellation Policy. 26.6 Consumer rights. Nothing in these Terms limits consumer rights that can't be waived. If you're in the EU, EEA or UK, you may have a right to withdraw from a purchase within 14 days, as the law and the seller's terms provide. 26.7 Energy and items. Energy unlocks in-app features only. It has no cash value, can't be sold, bought, transferred between accounts or exchanged for money, and doesn't expire while Ascended Social operates. If a purchase is refunded or charged back, we may remove the energy it granted, but never below a zero balance. If you delete your account, or we close it for a serious breach of this Agreement, unused energy is forfeited, subject to applicable law. 26.8 Codes and promotional rewards. We may issue one-time codes or promotional grants for prepaid Mystic or Ascended time, or for energy. These include Kickstarter rewards, promotional campaigns, codes bought through Polar, and promotional grants through the App Store or Google Play. Codes have no cash value, can't be sold or transferred, and don't expire while Ascended Social operates. Each code works once, and codes are redeemed only at ascended.social while you're signed in. Redeeming a code never asks for card details and never starts a recurring subscription. Prepaid time doesn't renew, and it doesn't turn into a paid plan unless you later choose to subscribe through a separate checkout. We'll email you 7 days before it ends. If you already have a paid subscription, your prepaid time starts when that paid period ends. To avoid being charged for an App Store or Google Play subscription, cancel it there. Energy from a code works like other energy: it unlocks in-app features only, has no cash value, and can't be sold, transferred or cashed out. Ascended is for adults 18+, and some rewards aren't available in some countries. Kickstarter digital rewards aren't offered in the European Union, the United Kingdom or Switzerland. If you paid for a code or reward you can't redeem, email support@ascended.social and we'll arrange a refund through the channel you paid with. We may update this list, and the current list is always in this section. 27.2 No workarounds. You may not use a VPN, proxy or any other method to hide your location or to use Ascended from a place listed above. 27.3 Sanctions and export controls. By using Ascended, you confirm that you are not (a) located in, or ordinarily resident in, a country or region listed above; (b) named on, or owned or controlled by anyone named on, the U.S. Treasury Department's Specially Designated Nationals List or any other U.S., United Nations, European Union or United Kingdom restricted-party list; or (c) otherwise barred from receiving services under U.S. law. 28. Consumer Rights, Liability And Disputes
Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or your statutory rights as a consumer, and the "Disclaimer of Representations and Warranties",
"Limitation of Liability", "Indemnity" and "Availability of Website" sections apply only to the extent the law allows. Subject to the previous sentence, Company's total liability to you for all claims relating to the Services is limited to the greater of the amounts you paid us in the 12 months before the claim arose and US$100. The one-year period for bringing claims in the "Limitation of Liability" section does not apply where applicable consumer law does not permit a shorter limitation period. This Agreement is governed by the laws of the State of Arizona, USA, without regard to its conflict-of-law rules; if you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country where you live, and you may also bring proceedings in the courts of that country where that law allows. The "Dispute Resolution" section does not apply to you if you are a consumer resident in the EU, EEA, UK, Switzerland or Quebec, or anywhere else where pre- dispute arbitration agreements with consumers are not permitted; you may bring claims in your local courts.
29. Federation (Planned)
Federation is planned, but it has no launch date and isn't available today, and plans can change. When federation launches, public content delivered to Ascended Social and private communication with Ascended Social-hosted users would remain subject to our rules and moderation; private exchanges solely among users of independent self-hosted services that never pass through Ascended Social may be outside our moderation, and those operators and users would be responsible for their own rules and legal compliance.
30. Other Terms That Apply
These terms work together with our other policies, which form part of this Agreement where they apply to what you use: Privacy Policy, Cookie Policy, Refund & Cancellation Policy, Subscription & Auto-Renewal Terms, Acceptable Use Policy, Minor-Safety Addendum, Child Safety & CSAE Standards, DMCA / Copyright Policy, EU Digital Services Act (DSA) Notices, API Terms of Use, Spiritual & Wellness Disclaimer, AI & Generative Content Disclosure, and our Creator & Monetisation Terms (https://ascended.social/legal/creator-terms). All are listed at https://legal.ascended.social. If documents conflict, they apply in this order: (1) mandatory law and the consumer rights in Section 28; (2) the specific policy listed above, for its own subject (for example, the Creator Partner Program Terms: Payouts for payouts, or the Refund & Cancellation Policy for refunds); (3) Sections 21–31 of this Agreement; (4) the earlier sections of this Agreement. The summary at the top of these Terms is never binding.
